A Mainland company in Dubai is a commercial entity operating in Dubai’s main trading area and licensed by the Department of Economic Development (DED).

Unlike free zone companies, Mainland companies have the freedom to conduct business throughout the United Arab Emirates (UAE) and internationally.

In Mainland companies, full foreign ownership has become possible with the new regulations that came into effect in 2020 regarding local partnerships.

  • Business activity approval from the Department of Economic Development (DED).
  • Memorandum of Association (MOA).
  • Initial Approval / Name Registration.
  • Lease agreement and Ejari registration certificate.
  • Copies of passports and identity documents of the investors.
  • Necessary licenses and application forms.

Mainland Company Formation Process in Dubai

  • Determine Business Activity:
    • Decide the sector in which you will operate. The DED offers different types of licenses based on the type of activity: commercial, industrial, and professional licenses.
  • Trade Name Selection and Approval:
    • Choose an appropriate trade name for your company and ensure it is approved by the DED. The trade name must be unique and not cause confusion with other companies.
  • Initial Approval and Draft Memorandum of Association (MOA):
    • Obtain initial approval from the DED and then prepare the draft Memorandum of Association (MOA), the document that outlines the company’s structure and purpose.
  • Lease Office Space:
    • A physical office address in Dubai is required. The lease agreement must be registered with a system called Ejari.
  • License Application:
    • After gathering the necessary documents and approvals, submit the business license application to the DED. These documents include the MOA, Ejari lease agreement, and other relevant documents.
  • Establishment and Initial Operations:
    • Once the license is approved, your company must be registered in the commercial registry, and your commercial license must be obtained.

Thus, your company formation process will be complete. Following this, the residency procedures for investors and employees will be initiated. With the completion of the residency process and the opening of a corporate bank account, your company will be officially ready to start operations.
